GrooTalk Terms of Use

1. Agreement

These Terms of Use ("Terms") are an agreement between you and GROOWING COMPANY LIMITED ("we", "us") for the GrooTalk app ("the app"). By downloading or using the app you accept these Terms and our Privacy Policy. If you do not agree, do not use the app.

2. Who can use the app

You must be at least 13 years old (16 in the EEA). If you are under the age of majority where you live, you may use the app only with permission of a parent or guardian, who accepts these Terms on your behalf.

3. The service

• The app offers speaking exercises (pattern practice and reflex drills, currently for Vietnamese speakers) and AI role-play calls with feedback, corrections and pronunciation scores.
• AI can make mistakes. Corrections, explanations, translations and scores are produced automatically, may be inaccurate, and are provided for practice only. They are not an official result of any exam, and GrooTalk is not affiliated with or endorsed by any exam provider.
• AI characters are fictional. Do not rely on what they say for medical, legal, financial or other professional advice.
• Some features need an internet connection. We may add, change or remove features, content and language options over time.

4. Free use and Premium

• Free: exercises that run on your device are free. AI role-play calls include a limited number of free calls (currently 3 per device, in total). Free-tier limits may change.
• Premium unlocks unlimited role-play calls, unlimited AI corrections and pronunciation scoring, subject to section 5. Pronunciation scoring covers a limited amount of your speech in each call.
• Billing: Premium is sold as an auto-renewing subscription (currently yearly or monthly) through Apple's App Store. Payment is charged to your Apple ID at confirmation of purchase. The subscription renews automatically at the same price and period unless cancelled at least 24 hours before the end of the current period. Your account is charged for renewal within 24 hours before the end of the current period.
• Cancelling: manage or cancel in your Apple ID settings (Settings → your name → Subscriptions). Cancelling stops future renewals; Premium stays active until the end of the paid period.
• Refunds are handled by Apple under its policies (reportaproblem.apple.com). We cannot issue refunds for App Store purchases.
• Price changes: prices are shown in the app and on the App Store and may change. Apple will notify you of a price increase as required and, where required, ask for your consent before renewing.
• Devices: signing in is optional. Without an account, a subscription works on one device at a time; on a new device, use "Restore purchases" to move it there (a subscription can be moved at most once every 7 days). If you sign in with Apple or Google on the device that bought it, Premium follows your account on up to 5 devices.

5. Fair use

"Unlimited" means unlimited for personal, human learning at a normal pace. To keep the app fast and affordable for everyone, we may automatically adjust the service when usage is far above normal — for example by using standard device voices instead of natural voices, scoring pronunciation for fewer sentences, pausing calls for a short time, or setting daily limits. We may also limit or suspend use that appears automated, shared, resold or abusive. We do not limit ordinary daily practice.

6. Acceptable use

You agree not to:

• use the app for anything illegal, or to create harassing, hateful, sexual or violent content, or content about real people without their consent;
• say or enter sensitive personal information (health, financial, government ID numbers) or other people's personal data in calls;
• use bots, scripts or automation, or try to get around free-tier limits, usage limits or payment;
• reverse engineer, decompile, extract keys or content from, copy, modify, resell or redistribute the app, except where the law expressly allows it;
• interfere with the app, its providers or other users, or try to access systems you are not authorised to use.

7. Your content

Your recordings and the things you say remain yours. You give us a limited, worldwide, royalty-free licence to process them only to provide the app's features to you, including sending them to our service providers as described in the Privacy Policy. Most of your content is stored only on your device; we are not responsible for content lost when you delete the app or your device is lost or reset.

8. Our content

The app, its design, exercises, sentences, characters, images, audio and software belong to us or our licensors and are protected by law. We grant you a personal, non-exclusive, non-transferable, revocable licence to use the app on Apple devices you own or control, under these Terms and Apple's Usage Rules.

9. Third-party services

The app relies on third-party services (such as AI and speech providers, and Apple) to work. Their availability is outside our control, and features that depend on them may sometimes be unavailable.

10. Disclaimers

The app is provided "as is" and "as available". To the extent permitted by law, we make no warranties of any kind, express or implied, including fitness for a particular purpose, accuracy of AI output, or that the app will be uninterrupted or error-free. We do not guarantee any particular learning result or exam score.

11. Limitation of liability

To the extent permitted by law, we are not liable for indirect, incidental, special or consequential damages, or for loss of data or profits. Our total liability for any claim relating to the app is limited to the amount you paid for the app in the 12 months before the claim. Nothing in these Terms limits liability that cannot be limited by law, or your statutory rights as a consumer.

12. Ending use

You may stop using the app at any time by deleting it (and cancelling any subscription in your Apple ID settings). We may suspend or end your access if you seriously or repeatedly breach these Terms. Sections 7–11, 13 and 14 survive termination.

13. Apple

• These Terms are between you and us, not Apple. We, not Apple, are responsible for the app and its content.
• Apple has no obligation to provide maintenance or support for the app.
• If the app fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any) of the app; to the extent permitted by law, Apple has no other warranty obligation for the app.
• We, not Apple, are responsible for addressing any claims relating to the app (product liability, failure to meet legal or regulatory requirements, consumer protection, privacy) and any claim that the app infringes a third party's intellectual property.
• You confirm that you are not located in a country subject to a U.S. Government embargo or designated as "terrorist supporting", and are not on any U.S. Government list of prohibited or restricted parties.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

14. Governing law

These Terms are governed by the laws of Vietnam, without regard to conflict-of-law rules. If you are a consumer, you also keep the protection of the mandatory laws of the country where you live, and may bring claims in its courts.

15. Changes

We may update these Terms. We will change the effective date above and, for significant changes, tell you in the app. Continuing to use the app after a change means you accept the updated Terms.
